1. Agreement to Terms
By accessing or using the Medsync website at prioriqo.com and any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Medsync ("Company," "we," "our," or "us").
2. Who May Use the Service
The Service is intended for authorized representatives of licensed specialty pharmacy organizations and healthcare-related businesses. By using the Service, you represent that you are at least 18 years old, authorized to bind your organization to these Terms, and that your use will comply with applicable law and professional licensing obligations.
3. Use of the Service
3.1 License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your organization's internal business purposes.
3.2 Prohibited Uses
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws;
- Reverse engineer, decompile, or attempt to extract source code;
- Reproduce or redistribute any portion of the Service without written permission;
- Use automated scripts to scrape, crawl, or otherwise access the Service beyond normal usage;
- Introduce malware, viruses, or other harmful code;
- Misrepresent your identity or affiliation.
4. Account Registration
To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use.
5. Intellectual Property
The Service and its contents, including but not limited to software, text, graphics, logos, and interface design, are owned by or licensed to Medsync and are protected by intellectual property laws. Nothing in these Terms grants you ownership rights. The Medsync name, logo, and marks are our proprietary marks — do not use them without written permission.
6. Healthcare Disclaimer
The Service is an operational workflow automation tool for pharmacy administrative processes. It does not provide medical advice, clinical recommendations, or diagnoses. Nothing in the Service or on prioriqo.com constitutes medical advice. Pharmacy and clinical decisions remain the sole responsibility of licensed professionals. Medsync does not determine medical necessity or replace required clinical judgment.
7. Disclaimers of Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDSYNC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to defend, indemnify, and hold harmless Medsync and its affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) content you submit through the Service.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes arising under these Terms that cannot be resolved informally shall be subject to binding arbitration in Massachusetts, USA under the rules of the American Arbitration Association, except that either party may seek injunctive or declaratory relief in a court of competent jurisdiction for intellectual property or confidentiality violations. You waive the right to participate in any class action.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the public. Upon termination, your right to use the Service ceases immediately. Sections 5, 7, 8, 9, 10, and 12 survive termination.
12. Changes to These Terms
We may update these Terms from time to time. We'll indicate material changes by updating the "Last updated" date. Continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms.
